Business Corporations Act
Please follow these steps in order to obtain a Certificate of Authorization, which will permit the professional incorporation to practise veterinary medicine.
(1) Apply for CVO approval of the name of the professional corporation before you incorporate with the Ministry of Government and Consumer Services (MGCS). The by-laws regarding the naming of the professional corporations are listed on the first page of the name application form.
- PLEASE NOTE: the professional corporation name does NOT replace the name of the accredited facility name.
- The approved name of the accredited facility must appear on all signage, advertisements, newsletters, business cards, and invoices. If the member practices as a professional corporation, clients must be made aware of that fact by having the approved name of the professional corporation in addition to the accredited facility name appear on all invoices and consent forms.
(2) Incorporate with the Ministry of Government and Consumer Services (MGCS). You may contact the Companies Branch Help line at (416) 314-8880 or toll free at 1-800-361-3223 or go to their website: www.mgs.gov.on.ca
Please ensure that the articles of incorporation meet the following requirements:
- Section 45. (5) (ii) of the By-laws state: "The articles of incorporation provide that the corporation may not carry on a business other than the practice of veterinary medicine and activities related to or ancillary to the practice of veterinary medicine."
- All of the shareholders, directors and officers must be licensed veterinarians in Ontario.
(3) Apply for a Certificate of Authorization from the CVO before the professional corporation practices veterinary medicine. The first page of the application form lists the requirements (includes the Statutory Declaration) for the Certificate of Authorization. Please note that one of the requirements is a "Certificate of Status" (item #3) and this must be specifically requested from the MGCS.
